Each person in a transaction thinks of self as 'first person', other as 
'second person'.  But to avoid confusion, the convention for 
asymmetrical transactions, something for money, is to call the 
'something' provider the 'first person' or 'first party'.  I believe 
legal contracts are generally written this way.
