threads or processes?

Hi, I have a process with 5 threads. Each thread is a close loop doing the same operation. What is the difference between running 5 threads and 5 processes in this case? The program is to be run on a 1 Xeon CPU with Hyper-threading enabled system. It is running on a 2.4.20 kernel.
